Client Specific Terms and Conditions Suppliers ING - TAPFIN



These Client Specific Terms and Conditions apply to the Contract for Services pursuant to which a Professional will perform Work at ING – TPAFIN (‘Client’). Words written with a capital letter shall have the meaning given to them in the General Terms and Conditions for Intermediary Services Suppliers (‘GTC’) of HeadFirst Group.

Clause 1

Termination

1. Contrary to Clauses 6.4 and 6.6 of the GTC, premature termination of the Assignment by the Supplier is permitted with due observance of a notice period of one calendar month. If the Seconded Employee has been indicated as business critical at the beginning of the Assignment, a notice period of 2 calendar months is applicable..

2. In the event that the Client terminates the assignment agreement with Intermediary on the basis of Clauses 6.5 and 6.6 of the GTC, the Supplier will not be entitled to any form of compensation.

Clause 2

Liability

1. Contrary to what is included in Clause 11.4 of the GTC, the Supplier's liability is limited to an amount of € 1,000,000 per event and € 2,000,000 per year.

2. Contrary to what is included in Clause 11.3 of the GTC, the minimum coverage of the business liability insurance must be € 2,500,000 per event or a series of related events.

Clause 3

Take over

1. The Client has the right, without any form of compensation, to enter into a contract with the Seconded Employee. If the Client wishes to take over the Seconded Employee within a period of 12 months after the commencement of the Assignment, the Supplier is entitled to compensation. The compensation is determined as follows: the number of agreed hours up to a maximum of 12 months, minus the hours that have already been approved and charged, multiplied by 10% of the agreed hourly rate.

2. The Supplier (direct or indirect) shall in no way, in any form whatsoever, prevent the Seconded Employee from entering into a contract (directly or indirectly) with the Client (invoking a non-competition clause / non-solicitation clause).

Clause 4

Rates, time registration, invoicing, timesheet and payment

1. In addition to Clause 7 of the GTC, rates cannot be indexed by the Supplier during the term of the Assignment or in the event of an extension. The Client and/or Intermediary have the right to negotiate rates at the time of extension of the Assignment. If the parties do not reach an agreement on the applicable rate, the Client and/or Intermediary reserve the right to terminate the Assignment and assign the Assignment to a third party.

2. Time registration by the Seconded Employee must take place in the Client's VMS, as the responsible manager also approves or rejects the hours in that VMS.

3. The deadline for closing the time registration in the VMS is the Tuesday of the first full week of the new calendar month. After this date, all approved hours and expenses will be processed.

4. One invoice per Seconded Employee will be sent to the Supplier and one debit invoice will be sent to the Client. Invoices to Suppliers are self-billing credit invoices. The Supplier does not need to issue a separate invoice. Invoices sent by the Supplier to Intermediary will not be processed.

5. Only approved hours and expenses are processed on the invoice. Hours submitted/approved after the deadline will be processed on the next monthly invoice.

6. Hours worked must be submitted within 2 months.

7. Invoices are drawn up via self-billing on the first Thursday of the first full week of the new calendar month.

Clause 5

Penalty provision

1. Contrary to what is included in Clause 14 of the GTC, the amount of the immediately payable fine is € 20,000.

Clause 6

Compliance

1. The Supplier guarantees to act in accordance with all laws and other applicable provisions in relation to the deployment of Seconded Employees to carry out the work (at the Client's). This includes, but is not limited to, work permits, health and safety conditions and the deployment of personnel (for example: Allocation of Workers by Intermediaries Act (Waadi)), the Balanced Labour Market Act (WAB), the Dutch Labour Market Fraud Act (WAS) and the Employment Conditions for Posted Workers in the European Union Act (WagwEU).

2. The Supplier accepts full responsibility and liability with regard to the foregoing and indemnifies the Client and Intermediary against all claims in this regard as well as for the reasonable legal costs incurred by the Client and/or Intermediary. Any limitation of liability shall not apply hereto.

3. The intermediary and/or the Client are entitled to check (either by themselves or through an independent accountant) whether the Supplier complies with the above obligations and which procedures the Supplier follows with regard to recruitment and selection, screening and (if applicable) the hiring of personnel. The Supplier will cooperate without charging any additional costs.

4. The Supplier shall maintain the following information for each Seconded Employee and provide it to the Intermediary at the Intermediary's first request:

The total salaries paid to Seconded Employees;
The number of hours worked by Seconded Employees; and
A copy of the identity verification.

If the Supplier is unable to provide the foregoing (if possible) within twenty (20) days of the request by the Intermediary, the Intermediary is entitled to suspend the payment of all outstanding invoices and to replace the Seconded Employee with another Secondee.

Clause 7

Overtime and shift work

1. Overtime is only permitted if this has been approved in advance in writing by the Client. Overtime is not permitted for Seconded Employees who are deployed on ING job scale 11 or higher.

2. If the Client is of the opinion that the Seconded Employee is eligible for shift work, the Supplier will be informed as soon as possible. Shifts of less than ten (10) working hours per day are not considered overtime. For each hour in excess of this limit, the compensation applicable to overtime shall apply, during that time the compensation for shift work shall not apply.

3. The Client may request a Seconded Employee to be on standby for a period to be agreed in advance.

4. The Client will indicate the form in which Seconded Employee must be on standby.

5. If the issue can be resolved by telephone during a standby period, that telephone conversation is part of the standby period.

6. The standby fee is as follows:

Monday - Friday: € 2.60 per hour
Saturdays, Sundays and public holidays: € 3.88 per hour

7. The work starts when the Seconded Employee arrives at the designated place.

Clause 8

Screening and other requirements

1. In addition to what is included in the GTC, the Supplier cooperates with and complies with the Client's requirements as they apply from time to time, but not limited to with regard to the screening of Seconded Employees, the signing of a confidentiality agreement, the submission of a Certificate of Good Conduct (or equivalent, ‘VOG’), additional screening in the event of so-called integrity-sensitive positions and/or taking the banker's oath. What is included in Clause 8.1 of the GTC regarding the condition for payment also applies to this Clause. If the Supplier does not comply with the requirements or does not comply with them on time, the Intermediary will not owe any payment to the Supplier. The Supplier will also forfeit a fine of € 20,000 for each document not submitted on time. This fine will only be imposed if the Client imposes it on the Intermediary.

Clause 9

Workspace and working from home

1. The Client will make workspace and facilities available at its location that are suitable for the performance of the work by the Seconded Employee in accordance with the legal requirements (including the Working Conditions Act). The workspace will be made available in accordance with the work schedule agreed with the hiring manager. On days when no workspace is available, the Seconded Employee will work from home or from another workspace to be agreed.

2. At the request of the Client, the Supplier will confirm that the home office complies with the relevant laws and regulations.

3. An allowance for working from home is deemed to be included in the rate.

Clause 10

Suspension during mandatory leave

1. In addition to Clause 3.12 of the GTC, the Client has the right to suspend the Assignment during mandatory days of leave, always after prior written notification from the Client. No compensation shall be payable on these mandatory days of leave during such suspension.
