Client Specific Terms and Conditions Suppliers – Caceis
Version 1 – April 2025
These Client Specific Terms and Conditions ("CSTC") apply to the Assignment on the basis of which a Professional of the Supplier will perform Work at Caceis (Kas Bank N.V.) via Intermediary.
Capitalized words have the meanings as defined in the General Terms and Conditions for Intermediary Services for Suppliers (GTC) of HeadFirst Group.
Article 1 – Invoicing procedure
Invoicing will take place in accordance with the invoicing conditions for the Client and as included in the Supplier's digital file on the Platform.
Article 2 – Assignments – termination and notice periods
The Parties are entitled to terminate an Assignment with due observance of a written notice period of one (1) month.
In the event that the Professional in question is unable to perform the Work for more than two consecutive weeks due to illness or otherwise, Intermediary/Client shall be entitled to terminate the Assignment after two working weeks, without further compensation being due.
Article 3 – Liability
The Supplier is liable for all direct damage arising from the Assignment and which can be attributed to the Supplier up to a maximum of € 1,000,000 per event or series of related events.
Article 4 – Working hours, overtime and standby
The Client applies a working week of maximum 36 hours.
Overtime or standby are only permitted after explicit (written) approval by the Client and are not compensated in money, but compensated in time. The Supplier will make agreements about this with the Client.
Article 5 – Takeover of Professionals
The Client is entitled to employ the Professional free of charge if the relevant Professional has performed work for the Client for 1040 or more hours through Intermediary. Before this is the case, the Parties will enter into consultation.
Professionals will in no way be limited from being contracted (in)directly by the Client or from performing work for the Client in any other way.
The Supplier therefore guarantees that it will not impose any obstructive clauses such as, but not limited to, non-competition and non-solicitation clauses that would limit the Client's direct or indirect takeover of Professional.
