Client Specific Terms and Conditions – Self-Employed Persons AZL

These Client Specific Terms and Conditions ("CSTC") apply to the Assignment on the basis of which a Self-Employed Person will perform Work at AZL via Intermediary.

Capitalized words have the meanings as defined in the General Terms and Conditions for Intermediary Services for Self-Employed Persons (GTC) of HeadFirst Group.

Article 1 – Termination

The Intermediary shall be entitled (at the request of the Client) to terminate an Assignment with immediate effect, without being liable for any costs/damages resulting therefrom, if:

a. the Client, at any time during the term of the Assignment, becomes aware that the Self-Employed Person is performing commercial recruitment activities for its own benefit or for the benefit of third parties;

b. the Self-Employed Person fails to comply with laws or regulations or with the codes of conduct and safety regulations applicable at the Client;

c. the Self-Employed Person, with reasonable substantiation, no longer meets the requirements and/or expertise set by the Client;

d. the performance delivered by the Self-Employed Person remains below expectations, even after the Self-Employed Person has been notified thereof, or for other compelling reasons such as gross negligence or wilful misconduct by the Self-Employed Person;

e. the Self-Employed Person exhibits behaviour such that continuation of the Assignment can no longer reasonably be accepted; or

f. an event occurs with significant impact on the Client’s hiring needs beyond reasonable control of the Client, including but not limited to a financial crisis or similar event.

Assignments with a duration of up to two months may be terminated by the Intermediary and the Self-Employed Person with due observance of a notice period of one calendar week.

Assignments with a duration of more than two months may be terminated by the Intermediary and the Self-Employed Person with due observance of a notice period of one month.

If the Intermediary terminates the Assignment within the first fifteen (15) days from the start of the Assignment on the basis of sub a, b or d of paragraph 1, or due to a negative outcome of the Pre-Employment Screening, the Client shall not charge the hours already worked by the Self-Employed Person.

Article 2 – Screening
The Self-Employed Person shall, at its own expense and within the stated timeline, provide the following documents.
To be submitted before commencement of the Assignment

a. ID check
b. VAGC
c. Employment history checklist
d. Digital diploma extract from DUO or a certified colour copy of the diploma of the highest completed education
e. Copy of VOG application receipt (screening profile 95)
f. CV
g. (For non-EU/EEA nationals) Work permit
h. (For non-EU/EEA nationals) Copy of valid ID document

To be submitted within 4 weeks after the start date

i. Copy of VOG (screening profile 95)
j. Written references from the last two clients/employers.

If the Self-Employed Person fails to provide the above documents on time (an incident), the Intermediary may impose the following measures.

Such measures shall not be imposed without adequate communication of the shortcoming(s) to the Self-Employed Person and without giving the Self-Employed Person the opportunity to remedy the shortcoming.

Such measures shall only be imposed if the Client instructs the Intermediary to do so:

a. treat such an incident as a breach of contract and be entitled to terminate the Assignment; or

b. suspend payments of all invoices related to this Assignment until the Self-Employed Person delivers the documents.

Article 3 – Insurance
By way of derogation from Article 9.4 of the General Terms and Conditions, professional liability insurance shall only be required insofar as the Intermediary, at the request of the Client, requires this in the Assignment.
Article 4 – Liability

The Self-Employed Person’s liability per incident and per year shall be limited to a maximum amount of:

a. € 1,000,000,- for damage to goods and property; and

b. € 500,000,- for all other damages.

Related events shall be considered as one incident.

Article 5 – Company Resources

The Client shall not provide tools to the Self-Employed Person that are necessary for the performance of the work, unless this is required due to the nature of the work and/or the Client’s safety requirements.

If tools are provided, the Self-Employed Person shall owe a reasonable fee for this. This fee is deemed to be included in the Rate.

The Self-Employed Person has stipulated on behalf of the Client that, if tools are provided:

a. the Self-Employed Person must act with respect to those items as a ‘good householder’ in the legal sense;

b. the Self-Employed Person must, upon termination of the work and/or at the first request of the Client, return all items made available within 24 hours after termination of the work or the making of such request; and

c. any damage to the items concerned may be recovered by the Client from the Self-Employed Person.
