Client Specific Terms and Conditions for the Self-Employed Person ING - TAPFIN
These Client Specific Terms and Conditions apply to the Assignment on the basis of which a Self-Employed Person will perform work for ING-TAPFIN via Intermediary. Capitalized words have the meaning as defined in the General Terms and Conditions for Intermediary Services for the Self-Employed (GTC) of HeadFirst Group.
Clause 1
Termination
1. Contrary to Clause 4.4 and 4.6 of the GTC, the Self-Employed Person may terminate the Assignment prematurely with due observance of a notice period of one calendar month. If the Self-Employed Person has been indicated as business critical at the beginning of the Assignment, a notice period of 2 calendar months is applicable..
2. In the event that the Client terminates the assignment agreement with Intermediary on the basis of Clauses 4.4, 4.5 and 4.6 of the GTC, the Self-Employed Person will not be entitled to any form of compensation.
Clause 2
Rates, time registration, invoicing, timesheet and payment
1. In addition to Clause 5 of the GTC, rates cannot be indexed by the Self-Employed Person during the term of the Assignment or in the event of an extension. The Client and/or Intermediary have the right to negotiate rates at the time of renewal of the Assignment. If the parties do not reach an agreement on the applicable rate, the Client and/or Intermediary reserves the right to terminate the Assignment and assign the Assignment to a third party.
2. Time registration by the Self-Employed Person must take place in the Client's VMS, as the responsible manager also approves or rejects the hours in that VMS.
3. The deadline for closing the time registration in the VMS is the Tuesday of the first full week of the new calendar month. After this date, all approved hours and expenses will be processed.
4. Invoices are self-billing credit invoices. Self-employed persons do not need to issue a separate invoice. Invoices sent by the Self-Employed Person to Intermediary will not be processed.
5. Only approved hours and expenses are processed on the invoice. Hours submitted after the deadline will be processed on the next monthly invoice.
6. Hours worked must be submitted within 2 months.
7. Invoices are drawn up via self-billing on the first Thursday of the first full week of the new calendar month.
Clause 3
Penalty provision
1. Contrary to what is included in Clause 12 of the GTC, the amount of the immediately due and payable fine is € 20,000.
Clause 4
Screening
1. In addition to what is included in the GTC, the Self-Employed Person will cooperate and comply with the Client's requirements as they apply from time to time, but not limited to the screening of the Self-Employed Person, the signing of a confidentiality agreement, the submission of a Certificate of Good Conduct (or equivalent, ‘VOG’), additional screening in the case of so-called integrity-sensitive positions and/or taking the banker's oath. What is included in Clause 6.1 regarding the condition for payment also applies to this Clause. If the Self-Employed Person does not meet the requirements or does not meet the requirements on time, the Intermediary will not owe any payment to the Self-Employed Person. In addition, the Self-Employed Person will forfeit a fine of € 20,000 for each document not submitted on time. This fine will only be imposed if the Client imposes it on the Intermediary.
Clause 5
Suspension during mandatory leave
1. In addition to Clause 3.8 of the GTC, the Client has the right to suspend the Assignment during mandatory days of leave, always after prior written notification from the Client. No compensation shall be payable on these mandatory days of leave during such suspension.
